Quick answer: When a Chinese supplier proposes a new price, specification or delivery date, record exactly what changes, which orders it affects, when it takes effect and what remains unchanged. Check the original agreement’s amendment procedure and the authority of the people approving the change. A revised quotation, an operational instruction and an agreed contract amendment are not necessarily the same thing.
Scope: commercial supply contracts involving mainland China. The Civil Code discussion applies where PRC law governs. International sales may require a separate applicable-law analysis. Sources checked: 30 October 2026. This is a preparation guide, not a ready-to-sign amendment.
Start with the signed baseline
Collect the executed agreement, purchase orders, specifications, accepted samples and earlier amendments. Identify the version governing the affected shipment. If the parties are comparing different documents, a short statement such as “we agree to your update” may leave the central issue unresolved.
Create a change log with the request date, requesting person, affected clause or schedule and current approval status. Keep a proposed change separate from an approved change. Procurement, quality control and finance should be able to see the same status without reconstructing a long message thread.
What does the PRC Civil Code say about changes?
Article 543 allows parties to modify a contract by agreement. Article 544 provides that where the agreed content of a modification is unclear, the contract is presumed not to have been modified. These provisions make precision important; they do not establish that every conversation changes a contract or that only one document format can ever work. Review the contract, authority, applicable formalities and evidence together. Official Civil Code text, Articles 543–544.
Use an amendment checklist that follows the transaction
| Change | Record explicitly | Check the connected issue |
|---|---|---|
| Price | Currency, unit price, quantities and affected orders | Does the price include packaging, tooling, taxes or transport? |
| Specification | Drawing or specification number, revision and approval date | Will inspection criteria, samples or compliance records also change? |
| Delivery | The revised milestone, date and named place | Does “delivery” mean dispatch, carrier handover or arrival? |
| Quantity | Revised quantities by product and shipment | What happens to materials already purchased or goods in production? |
| Payment | New trigger, due date and affected balance | Do prior payments remain credited to the same order? |
| Responsibility | The legal entity undertaking each obligation | Is the proposal actually a change of contracting party? |
This table is a practical drafting aid. It is not an official form or a substitute for reviewing the legal effect of the final wording.
Separate a deadline extension from a settlement
If an order is already late, decide whether the proposed extension also addresses the earlier delay. The commercial decisions may include reserving an existing claim, accepting a specified credit or settling a defined issue. Do not hide these choices in a general sentence saying that all previous matters are resolved.
For example, agreeing a new production date does not explain how the parties intend to treat additional freight costs, accepted partial shipments or an earlier complaint. Identify each issue as agreed, unchanged or still disputed. Ask counsel to review any waiver, release or reservation of rights. For cancellation questions, see our Chinese supplier late-delivery guide.
Make bilingual documents and attachments match
Update both language versions together. Check product codes, amounts, dates, defined terms and cross-references line by line. A revised English schedule paired with an older Chinese schedule can leave the production team and the commercial team working from different instructions.
Identify which document replaces which earlier version and agree an order of precedence for inconsistencies. Decide whether the amendment affects one purchase order or the entire framework agreement. Keep the original agreement accessible rather than deleting it after a revised file arrives. Our bilingual contract drafting checklist covers the broader signing process.
Illustrative example: a cheaper material, a later shipment
Hypothetical scenario: An overseas buyer asks a factory to use a different material. The factory sends a lower quotation and says production will take another two weeks. The buyer’s engineer approves the sample, while the purchasing manager expects the original delivery date to remain.
A useful amendment file would distinguish technical approval from approval of price and timetable changes. It would identify the new material specification, the affected quantities, the agreed delivery milestone and the people authorized to approve the commercial terms. It would also record treatment of existing stock and any unresolved delay claim. The example illustrates a documentation problem; it does not predict a legal outcome.
Preserve the approval trail and implement the change
- Identify the original contract and the exact clauses or schedules being changed.
- Record the agreed replacement terms and the effective date.
- Confirm the parties and the authority of their representatives.
- Follow the agreed execution and notice process, checking any applicable formal requirements.
- Retain the signed amendment, attachments and relevant communications in a single matter file.
- Update the purchase order, inspection instructions, payment calendar and logistics instructions to match.
Preserve the full context of emails and messages, including attachments and dates. A cropped screenshot may omit a qualification or show an earlier proposal. If performance has already changed without clear documentation, prepare a factual chronology and obtain advice before sending a retrospective confirmation that could unintentionally concede disputed facts.
Frequently asked questions
Can a revised quotation change the contract?
Do not decide from the document’s heading alone. Review what was proposed, what was accepted, who communicated it and how it relates to the existing agreement. Preserve the quotation and the complete response rather than assuming a price update settles every other term.
Should an amendment repeat the entire agreement?
It should be clear enough to identify the amended terms and its relationship with the remaining documents. A short amendment can be useful for a limited change; numerous overlapping revisions may justify a consolidated agreement. The appropriate approach depends on the transaction and existing record.
What should overseas buyers send for review?
Send the signed baseline, proposed amendment, relevant order numbers, current production status and a list of agreed and disputed points. State the next operational deadline and desired commercial result. Agree a suitable channel before transmitting confidential records.
