Scope: Mainland China acquisitions; transaction-specific legal and tax analysis
Two proposals offer access to the same business. One transfers its shares; the other sells selected assets. The asset price is lower, so the second proposal appears simpler. That conclusion may overlook the work needed to move the business.
The China asset deal versus share deal decision should compare the complete transaction, including liabilities, permissions and operational continuity.
Understand what remains in place
In a share transaction, the target company generally remains the owner of its assets and party to its contracts, subject to relevant change-of-control and regulatory issues. Existing liabilities remain part of the company being acquired.
An asset transaction requires identifying the assets and rights to transfer. It is not a universal guarantee that every historical or associated risk disappears. Mandatory rules, assumed obligations and the specific structure need review.
Compare the transfer tasks
Ask whether contracts need consent, whether permits are transferable and how employees will be handled lawfully. Identify registration, delivery and notification steps for each asset type.
China’s Civil Code governs important property and contract questions, while Company Law is central to an equity structure. Both must be considered with relevant special rules. Civil Code; Company Law.
Model the full commercial cost
Include taxes, professional work, registrations, business interruption and required replacement arrangements. Obtain tax advice on the actual parties and assets. Do not choose a structure from a generic claim that one method is always cheaper.
Where overseas investors are involved, assess investment access and applicable approvals for both options.
Design completion around continuity
Identify what must be available on the first operating day: premises, staff, systems, inventory and permission to trade. Tie the completion sequence to those dependencies and verify the evidence before releasing funds.
The best structure is the one that meets the commercial objective with understood risks and achievable conditions. Sometimes that requires narrowing the proposed purchase or changing its timetable.
