A China asset purchase agreement should do more than describe a price. It must identify each asset precisely, state what transfers and what does not, connect payment to delivery and registration, and allocate the risks that due diligence uncovers.
Foreign buyers should avoid assuming that a standard share purchase agreement can simply be adapted. Asset transfers have their own title, consent, tax, delivery and registration mechanics.
Define the purchased assets with precision
Attach a complete asset schedule. For each asset, identify the description, quantity, serial number or registration reference where relevant, location, condition, owner, associated documents and transfer action. Address excluded assets, consumables, deposits, receivables, liabilities, contracts, employees, data and IP separately rather than leaving them implied.
Link price and payment to verifiable milestones
| Term | Question to resolve | Drafting response |
|---|---|---|
| Price | What is the valuation basis and what is included? | State currency, tax treatment, adjustment and allocation. |
| Payment | When is payment due and what evidence is required? | Use conditions, escrow/retention if appropriate, and documented instructions. |
| Delivery | When do possession, risk and control move? | Define handover location, protocol and condition of the assets. |
| Title transfer | Which registrations or releases are necessary? | List transfer actions as conditions or post-closing covenants. |
| Liabilities | Which liabilities transfer, remain or are indemnified? | State assumptions, exclusions and claims process clearly. |
Use diligence findings to shape the agreement
Title gaps, liens, leases, technical defects, consent requirements and compliance issues should become concrete protections: a release before closing, a seller covenant, a closing condition, a price adjustment or a specific indemnity. Read our asset acquisition due diligence checklist for the questions that should inform these clauses.
Address the foreign-investment and funding context
The agreement sits inside the larger investment structure. Foreign investors should review market access, required licenses, payment route, tax allocation and foreign-exchange documentation before a signing date is fixed. Under the Foreign Investment Law, restricted fields must meet the applicable conditions and licensed fields require the relevant formalities. The agreement should reflect those facts through conditions and cooperation obligations.

Asset title may not be effective against third parties until the relevant handover or registration occurs. Our asset transfer and registration checklist explains the closing workstream that should run alongside the agreement.

Frequently asked questions
Can the seller keep using the asset after signing?
Only if the agreement defines a lawful, controlled transition arrangement. Possession, use, risk and title should not be left ambiguous.
Can an asset deal exclude historical liabilities?
It may limit assumed liabilities contractually, but it cannot eliminate every statutory, regulatory or third-party risk. Assess the facts and draft targeted protections.
