A well-negotiated China share purchase agreement (SPA) does more than record price and ownership percentages. It allocates the problems that due diligence reveals, sets the route to closing, and gives the buyer workable remedies if the target’s legal position differs from what was promised.
For US and European investors, the agreement should be built around the actual transaction structure, the target’s corporate records and the implementation steps in China.
Turn due diligence findings into contract protection
Legal due diligence should not end in a report. Each material finding needs a deal response: a condition precedent, a seller covenant, a price adjustment, a specific indemnity, a disclosure exception, an escrow or a decision to walk away. That linkage is what makes the diligence process commercially useful.
| Finding | Possible SPA response |
|---|---|
| Unclear equity chain or shareholder authority | Closing condition, corrective documents and transfer warranties. |
| Missing permit or non-compliance issue | Pre-closing remediation covenant and tailored indemnity. |
| Change-of-control consent | Condition precedent, cooperation obligation and long-stop date. |
| Pending dispute or contingent liability | Specific indemnity, retention or price adjustment. |
| Uncertain IP or key contract ownership | Assignment, confirmatory evidence and survival period. |
Core terms to negotiate clearly
Purchase price and payment mechanics
State the purchase price, currency, payment timing, account details, tax allocation, adjustment mechanism and evidence required for payment. The payment route should be consistent with the broader funding and FX implementation plan; see our China equity acquisition structure guide.
Conditions precedent
Use conditions for genuine closing blockers: agreed corporate approvals, required consents, regulatory steps, no material adverse change if negotiated, and delivery of specified evidence. Conditions should be objective enough to determine whether they have been satisfied or waived.
Representations, warranties and disclosures
Cover ownership of shares, authority, corporate status, financial and operational matters, compliance, permits, material contracts, employment, IP, tax and disputes as appropriate. Pair each representation with a disclosure process and a clear standard for knowledge qualifiers, materiality, survival and remedy.
Indemnities and remedies
General warranty claims and known, high-risk issues often need different treatment. Define claim procedures, caps, baskets, exclusions, survival periods, payment source and the interaction with any escrow or holdback. The document should specify what happens if a required approval is refused or cannot be obtained by the long-stop date.
Governance and shareholder arrangements
Where the buyer will not acquire 100%, the SPA is usually only part of the package. A shareholders’ agreement and updated articles may deal with board appointment, reserved matters, funding, transfer restrictions, deadlock, exit rights, confidentiality and dispute resolution.
China closing checklist
- Executed SPA, shareholder agreement and constitutional documents.
- Corporate approvals and seller transfer authority.
- Evidence that conditions precedent have been met or validly waived.
- Consents under key contracts, permits and financing documents.
- Payment instructions and evidence consistent with the agreed process.
- Updated shareholder register, board/management appointments and company chops or records where applicable.
- Registration, reporting and other implementation items identified in the regulatory tracker.
- Completion binder containing signed documents and filed evidence.
Keep the agreement aligned with regulation and implementation
The official foreign-investment guidance reflects that a deal’s implementation can involve corporate registration and, in relevant cases, pre-implementation anti-monopoly notification. The SPA should therefore match the regulatory timetable, rather than promise an unconditional closing that the process cannot support. Read our regulatory timeline for foreign buyers for the planning questions to resolve before closing.

Frequently asked questions
What is the difference between an SPA and a shareholders’ agreement?
An SPA transfers the shares on agreed terms. A shareholders’ agreement governs the continuing relationship among owners, especially where the buyer will hold a minority or joint-control stake.
Should a buyer use a template SPA?
A template may be a starting point, but the protections, conditions and closing mechanics need to reflect the target, transaction structure, diligence findings and applicable regulatory process.
