Registering a Foreign-Invested Company in China: Documents, Licenses and Filing Checklist

Company registration documents for a foreign-invested company in China

Foreign investors often assume China company formation is one government filing. In practice, the incorporation package is a sequence of linked steps: investor evidence, governance documents, registered address support, business-scope design, registration, and—where relevant—industry licensing and foreign-investment reporting.

The goal is not merely to obtain a business license. It is to form a company whose registered details, documents and operating permissions match the intended business.

Build the document list around the investor and the entity

Exact requirements vary by locality, investor type and sector. A typical workstream includes evidence of the foreign investor’s legal existence or identity, authorization documents, articles of association, shareholder decisions, appointment documents for directors/supervisors or other relevant officers, legal-representative appointment, and registered-address evidence. Official registration guidance notes that foreign investors submit their application through the enterprise registration system and make the relevant negative-list undertaking; a sector that requires prior approval must also provide that approval.

Document group Purpose Common risk
Investor evidence and authority Shows legal capacity and signing authority Authentication, translation or authority gaps delay submission.
Articles and shareholder resolutions Sets governance and formation approvals Terms conflict with the planned management model.
Appointment documents Appoints the legal representative and management Names or powers do not align across documents.
Registered address evidence Supports the registration address Address use is not properly documented.
Licensing materials Supports regulated business activities Business starts before the needed permission is obtained.

Separate registration from operational permission

A business license does not necessarily authorize every business activity. The official Foreign Investment Guide illustrates a sequence in which foreign-investment access is considered, relevant licenses are obtained where required, and registration is completed through the market-regulation system. Treat this as a planning framework, not a universal checklist: each project requires a fact-specific assessment.

Prevent three common formation delays

1. An overbroad or inaccurate business scope

Draft the scope for the real activities, products and service model. A vague scope can complicate licensing, banking and operational compliance; an unnecessarily broad scope can create avoidable access questions.

2. Governance documents copied from an unrelated deal

Articles, shareholder decisions and appointments must agree on equity, capital, control and authority. Inconsistency is both a registration issue and a future governance risk.

3. Treating sector licensing as a post-closing detail

Identify licenses at the planning stage. Where prior approval is needed, it may affect the order of incorporation and the commercial launch date.

Formation checklist

  1. Confirm investor, ownership, business scope and registered address.
  2. Review foreign-investment access and industry-specific requirements.
  3. Prepare formation, authority and appointment documents.
  4. Apply for registrations and any required approvals in the correct sequence.
  5. Create a post-license launch plan for bank, tax, FX and employment matters.
