Scope: Mainland China equity acquisitions by overseas investors
Revenue is growing and the valuation looks attractive. You are ready to acquire a controlling stake. The financial model, however, does not tell you whether the company owns its core intellectual property or whether its biggest contract can survive a change of control.
China acquisition legal due diligence examines the legal foundations of the business you intend to buy. An equity acquisition generally leaves the business inside the same company, making its existing obligations central to the review.
Verify ownership and capital history
Examine the shareholder record, articles, transfer history and evidence of contributions. Identify pledges, restrictions and disputed interests. Review outstanding capital obligations and their implications for the proposed transaction under the applicable company-law rules. Official Company Law.
Do not treat a clean-looking ownership chart as a substitute for supporting records.
Test the assets that produce the revenue
Review key customer and supplier contracts, licenses, premises, intellectual property and workforce arrangements. Identify termination rights and required consents. Check whether the company uses assets actually owned by a founder or affiliate.
Disputes, guarantees and related-party transactions deserve attention even when they do not appear prominent in management’s presentation.
Connect findings to the deal structure
Some issues can be addressed by obtaining documents or consent before completion. Others may require price changes, indemnities, retention or reconsidering the transaction. Assess whether the seller would be able to meet a future claim; strong wording has limited value against an insolvent counterparty.
Foreign investment access and other regulatory questions require separate examination. China’s Foreign Investment Law provides the general access framework, including the negative-list system. Official law.
Make the report decision-focused
Ask for findings tied to evidence, potential consequences and proposed transaction responses. Identify unresolved questions before committing to an unconditional closing.
