Signed the China Share Purchase Agreement? You Still Need a Closing Plan

Scope: Mainland China equity transactions

The share purchase agreement is signed. The seller wants payment immediately, while your team expects permits, registrations and management handover to happen later. Each side believes the document supports its view.

A China share purchase agreement should be paired with a practical closing plan. Signing records the agreed transaction; completion requires the specified conditions and steps to occur.

Separate conditions from later promises

Identify what must happen before closing and who is responsible for it. Required approvals, third-party consents and remediation of material issues may need different treatment from routine post-completion tasks.

Assess foreign investment access, merger-control and security-review questions where relevant. Do not assume every acquisition requires the same filing or that a small investment can skip every regulatory analysis. China Foreign Investment Law.

Tie payment to verified steps

Agree how completion evidence will be checked and how funds will move lawfully. Consider whether staged payments, retention or another structure is appropriate and available. Specify the consequences if a required step cannot be completed.

Coordinate with tax and banking advisers before agreeing a mechanism that the institutions involved cannot implement.

Plan control of the operating business

Prepare a handover schedule for corporate records, seals, accounts, contracts and system access. Distinguish legal authority from physical possession. Changes should follow the required corporate and institutional procedures.

Record who is responsible for employees, customer communications and outstanding disputes on the transition date. A share transfer does not automatically resolve operational dependencies on the seller.

Keep remedies realistic

Review warranties, disclosure, indemnities and claim procedures together. A claim deadline or notice requirement can matter as much as the wording of a warranty. Ask how a dispute would be resolved and where recovery could occur.

Use a closing checklist that records evidence and outstanding items. A checkmark should mean the condition has been verified, rather than that someone expects it to happen.
