Scope: Mainland China; overseas business owners
A supplier wants a revised payment schedule. Your China manager needs an answer on an employee complaint. Headquarters is negotiating a distribution agreement. None of these questions looks like a major legal project—until different teams make decisions that conflict with one another.
For US, UK and European businesses, ongoing legal counsel in China can connect everyday decisions to the same commercial priorities. The value lies in consistent advice, clear responsibilities and earlier recognition of problems.
Start with the decisions your team actually makes
A useful legal retainer begins with a business map: who signs contracts, who approves payments, where employees work and which activities require specialist review. Give counsel a sample of real agreements and recurring questions. That reveals more than an abstract request for “full legal coverage.”
Separate routine work from exceptional matters. Contract review, management consultations and staff training may fit an agreed recurring scope. Litigation, acquisitions and regulatory investigations should have their own agreed scope and budget. Ask how urgent requests will be handled across time zones.
Turn recurring problems into reusable tools
If every purchase order produces the same negotiation, commission a standard clause and an escalation rule. If sales staff promise refunds inconsistently, agree a written approval process. A short, usable workflow helps colleagues recognize when they can proceed and when legal review is needed.
China’s Civil Code provides the general framework for civil and contractual relationships. Applying that framework still requires the actual agreement, facts and relevant special rules. Official Civil Code text.
Measure the service by decisions improved
Consider tracking overdue contract renewals, unresolved disputes, exceptions to approved clauses and completion of agreed corrective actions. These measures show whether legal support is becoming part of operations. A count of emails answered says much less.
Jinyuan Law Firm’s annual counsel service covers business consultations, contract drafting and review, dispute guidance and compliance training. An initial discussion can identify a suitable scope for your China operations.
Planning your legal support budget? Request a consultation with your business activities, team locations and three recurring legal problems. Ask for a proposed scope, escalation process and list of work requiring a separate engagement.
General information only. Advice depends on the facts and applicable jurisdiction. Contact does not by itself create a lawyer-client relationship. Local-law advice may be needed outside mainland China.
