Scope: Mainland China; international management teams
Your commercial team says legal review takes too long. Your legal adviser says documents arrive after the deal has already been agreed. The result is a familiar cycle: urgent emails, rushed signatures and disagreements about what was approved.
A better China contract review process starts by fixing the handoffs. For overseas headquarters, the following five bottlenecks are worth examining before adding another approval layer.
1. The counterparty is not clearly identified
A trading name, factory name and invoice issuer may belong to different entities. Collect the registered Chinese name, registration details and proposed payment beneficiary early. Explain any mismatch before drafting remedies against a party that may not owe the obligation.
2. Commercial terms live outside the agreement
Quality tolerances may be in a spreadsheet while delivery promises remain in a chat. Attach the agreed specifications and identify which version controls. A lawyer cannot meaningfully review a contract without knowing the bargain it is intended to record.
3. Every exception receives the same treatment
Create an escalation matrix. A minor reporting change may need a business owner; an unlimited liability clause, new guarantee or change of dispute forum deserves legal review. Assign decision makers and record why significant exceptions were accepted.
4. Bilingual versions drift apart
Track revisions in both languages. Decide whether one version prevails and have that choice reviewed for the intended forum. Translation accuracy matters, but a translated clause can still be commercially unsuitable. Ask the reviewer to explain the practical consequence of a difference.
5. Signed contracts disappear into inboxes
Keep an executed version, key notices, renewal dates and the responsible manager together. A good negotiation produces little value if nobody remembers when to inspect goods or send a required notice.
China’s Civil Code addresses contract formation and performance; the exact effect of a disputed clause depends on its wording and applicable law. Official Civil Code text.
