Scope: China-connected civil and commercial disputes
You have sent repeated reminders and received little response. A lawyer’s letter seems like the obvious next move. Before sending it, decide what you want the recipient to do—and what you will do if it refuses.
A China lawyer demand letter can organize a claim and open a structured negotiation. Its value comes from accurate facts and a credible strategy, rather than threatening language.
Choose one clear objective
Payment, document production, a defect remedy and termination are different requests. Specify the action sought and the contractual or factual basis. Where the amount is disputed, separate the principal claim, credits and other requested amounts.
A letter can also ask the recipient to explain a discrepancy or preserve relevant records. Counsel should assess whether that approach supports the broader case.
Check notice requirements and evidence
Review the contract’s delivery provisions and the parties’ known contact details. Keep reliable evidence of dispatch and receipt where available. An email to a familiar salesperson may not satisfy the requirements applicable to a formal contractual notice.
China’s Civil Code includes rules relevant to performance and remedies. The effect of a particular demand or termination notice depends on the facts and applicable provisions; wording alone cannot create a right that does not exist. Official Civil Code.
Avoid weakening the position
Do not include unverified allegations, inflated calculations or claims of guaranteed court action. A letter may later be examined in a dispute. Make sure the factual account aligns with the documents and with communications already sent by your team.
Ask counsel whether negotiation wording, admissions or settlement proposals require particular treatment. Do not assume a familiar label from your home jurisdiction creates confidentiality or evidentiary protection in China.
Prepare for all three responses
The recipient may comply, negotiate or ignore the letter. Establish what evidence, approvals and budget you would need for each path. Keep limitation and procedural deadlines under separate review.
Considering a formal demand? Consult Jinyuan Law Firm with the contract, prior correspondence and desired outcome. Request advice on whether a letter is appropriate, what it should seek and the next step if it does not resolve the dispute.
