China Litigation Power of Attorney: Apostille and Filing Checklist

China litigation power of attorney and Apostille documents for an overseas company

A China litigation power of attorney for an overseas client must clearly define the lawyer’s authority and follow the authentication route accepted by the Chinese court. For U.S. and European companies, errors in the entity name, signatory authority, notarization or Apostille, Chinese translation, or scope of authority can delay case filing and urgent applications.

What the power of attorney must identify

  • The principal’s full legal name and registration details
  • The authorized Chinese lawyer and law firm
  • The opposing party and dispute, where known
  • The court proceeding or intended filing
  • General and specially authorized procedural powers
  • Authority to sign or amend claims, settle, withdraw, appeal or receive funds where intended
  • Execution date, signatory name, title and corporate authority
  • Company seal or other execution form required in the home jurisdiction

Draft the authority first, then complete the correct notarization or Apostille route.

Why specific authorization matters

A broad statement such as “handle the lawsuit” may not cover every procedural act. The document should distinguish ordinary representation from powers that require specific authorization. Over-authorizing can create commercial risk; under-authorizing can require a replacement document during a time-sensitive case.

Official Chinese court requirements

The Supreme People’s Court’s English text of the Civil Procedure Law addresses powers of attorney sent from outside China by foreign individuals, enterprises and organizations. The Beijing International Commercial Court filing guidance also explains identity, corporate registration, authority and translation materials for cross-border litigants.

Does an Apostille replace consular legalization?

For public documents moving between Apostille Convention parties, an Apostille generally replaces the traditional consular-legalization chain. China joined the Convention with effect from 7 November 2023, as shown in the HCCH official status table. The precise route still depends on the country, document, competent authority, treaty position and receiving court.

Document package for an overseas company

  1. Draft the Chinese or bilingual power of attorney for the intended proceeding.
  2. Confirm the company’s registered name and current registration evidence.
  3. Confirm that the signatory is authorized to bind the company.
  4. Execute the document in the required form.
  5. Complete notarization and Apostille or the applicable alternative procedure.
  6. Prepare consistent Chinese translations.
  7. Check the package against the chosen court’s filing requirements.
  8. Retain original and certified electronic copies for later procedural use.

Common filing mistakes

  • The POA uses a trading name while the registry document uses another legal name.
  • The signatory’s title or authority is not proved.
  • The authorization omits settlement, appeal or asset-preservation powers that are needed.
  • The Apostille is attached to the wrong document or signature certification.
  • Dates and names differ between the original and Chinese translation.
  • The package is prepared before the competent court and relief are confirmed.

Representative filing scenario

A French company wants to sue a Chinese distributor and request urgent preservation. Its old global POA names a former officer and authorizes only contract negotiation. Reusing it risks rejection or delay. The litigation POA should be redrafted for the parties, claims and required procedural powers, then executed and authenticated through the applicable route together with current corporate authority documents. This is a representative scenario, not a specific client result.
