Bilingual contract drafting in China requires more than translating an English agreement into Chinese. For U.S. and European companies, a usable China contract should identify the controlling language, governing law, dispute forum, Chinese legal names, payment and acceptance mechanics, evidence channels and enforcement strategy. Drafting those decisions into the document from the start reduces ambiguity when performance fails.
Why a translated template may fail
A template built for another jurisdiction may rely on concepts, remedies or procedures that do not operate the same way in China. Literal translation can also produce inconsistent defined terms, party names and technical obligations. A bilingual contract should be drafted as one coordinated legal instrument, with both versions reviewed against the actual transaction.

China bilingual contract drafting checklist
- Verify each party’s registered Chinese name, unified social credit code and signatory authority.
- Describe products, services, specifications and deliverables precisely.
- Define price, tax, currency, payment account and invoicing conditions.
- Use objective inspection, acceptance and rejection procedures.
- Allocate shipping, title, risk of loss, insurance and customs duties.
- Address intellectual property, confidentiality, data and permitted use.
- Set change-control, delay, force majeure and notice procedures.
- Choose governing law and a court or arbitration forum deliberately.
- State which language controls if the versions conflict.
- Preserve practical remedies, termination rights and evidence.
Confirm the Chinese counterparty before drafting
The contract should name the registered entity that will perform and pay, rather than relying on a brand, English trading name or sales representative. Match the company chop, registration record, bank beneficiary and signatory authorization. If a parent, affiliate or individual is expected to guarantee performance, document that obligation separately and clearly.
Which language should control?
There is no universal answer. The decision should consider the negotiating team, Chinese performance staff, evidence likely to be used, governing law and dispute forum. The controlling-language clause must be consistent with the rest of the agreement. Even when English controls, the Chinese version should be accurate enough for operations, regulators and a later dispute.
Draft for performance evidence
Good drafting explains how the parties prove delivery, acceptance, defects, approvals and notices. Specify authorized email addresses and platforms, required sign-offs, inspection windows, record retention and escalation contacts. These clauses turn everyday records into usable evidence.
Governing law and dispute resolution
China’s official English publication of the Civil Code includes the country’s core contract-law framework. A cross-border contract should address governing law and forum with enforcement in mind. An arbitration clause must identify the institution and scope clearly; a court clause must account for jurisdiction and later service or enforcement.
Representative drafting scenario
A German equipment buyer uses an English purchase order while the Chinese supplier’s team works from a short Chinese quotation. The documents disagree on technical acceptance and final payment. A coordinated bilingual agreement should consolidate specifications, testing, acceptance records, cure periods, payment milestones and dispute resolution into one document before production begins. This is a representative scenario, not a specific client result.
