FOB vs CIF vs EXW in China Contracts: Risk and Evidence Checklist

Woman in suit reviews document with man.

FOB vs CIF vs EXW in a China contract is a risk allocation decision, not a shipping abbreviation exercise. For U.S. and European buyers sourcing from China, the selected Incoterms® 2020 rule affects the delivery point, transfer of transit risk, freight and insurance responsibility, export clearance, and the evidence needed when cargo is lost or damaged. A vague term such as “FOB China” can leave the port, loading point, version of the rules, and documentary duties uncertain.

FOB vs CIF vs EXW China contract risk checklist for international buyers
Match the delivery rule, named place and evidence requirements to the actual logistics chain.

Quick answer: which term fits which transaction?

  • FOB: commonly considered for port-to-port sea or inland waterway shipments where the buyer controls main carriage. Name the exact port of shipment.
  • CIF: commonly considered for sea shipments where the seller arranges freight and specified insurance to the named destination port, although risk transfers earlier under the rule.
  • EXW: places extensive transport obligations on the buyer and may create practical export-clearance problems. Consider whether FCA at a named place better reflects the transaction.

FOB China: define the port and loading evidence

FOB is designed for sea and inland waterway transport. The contract should state the named port, the Incoterms® version, the latest shipment date, the party booking the vessel, notice deadlines, and the document that proves loading. Containerized cargo often passes to a carrier before it reaches the ship, so the logistics process should be checked before selecting FOB.

CIF China: price includes freight, but risk may transfer earlier

CIF can mislead buyers who assume that the seller bears risk until arrival. The contract should align the insurance coverage, beneficiary, claim documents, inspection arrangements, bill of lading requirements, and notice procedure. If the goods are high value or sensitive to moisture, temperature, or breakage, review whether the default insurance level is commercially adequate.

EXW China: test export clearance and pickup reality

EXW may look simple for the seller, but a foreign buyer can face difficulty arranging loading and Chinese export formalities. Identify who can lawfully complete export declarations, provide VAT and customs documents, coordinate factory pickup, and bear waiting charges. A contract term that cannot be performed in the real shipping chain creates avoidable delay and evidence disputes.

Clauses that Incoterms do not replace

  • product specification, samples, tolerances, testing method and inspection window;
  • title transfer and retention of title;
  • payment milestones and letter-of-credit document requirements;
  • delay, nonconformity, liquidated damages and limitation of liability;
  • force majeure and change-control procedure;
  • governing law, arbitration or court jurisdiction, language priority and service of notices.

Representative scenario: the named place changes the claim

Representative scenario, not a specific client result: a European buyer agrees to “CIF Europe” for machinery. The cargo arrives with corrosion, but the contract does not identify the destination port, required insurance documents, pre-shipment condition evidence, or claim notice deadline. The dispute turns into four disputes at once: when risk transferred, whether packaging complied, whether the insurance claim was preserved, and whether the buyer inspected promptly. A precise named port, inspection protocol, photo record and document schedule would narrow those issues.
